The purpose of this study to find whether the firm performance and corporate governance affect the compensation of top management based on research Conyon and He (2011). Firm performance is measured by stock returns and ROA. In this study it was found that there is one indicator of firm performance that do not have an influence on top management compensation in trade and services sector listed in Bursa Efek Indonesia. The study also found that stock returns is not appropriate proxy for measuring the firm performance, Basu et al. (2007) confirm the result.Ada tabel
