Analisis Valuasi dan Pembagian Proporsi Kepemilikan Saham pada Perusahaan Sosial (Studi Kasus pada PT X)
In the era of COVID-19 pandemic, the role of socially oriented business is very significant for people. This study aims to determine the value of a social enterprise in Indonesia and to propose the company’s ideal share ownership after receiving funds from the investor. Valuation is required by PT X as a reference to obtain funding from a venture capital company. The research used a qualitative approach with a single case study design. Business process analysis is synthesized from primary and secondary data. Meanwhile, the company valuation is calculated by using a discounted cash flow method. It is derived by internal financial data with modification in non-profit social benefits into revenue. The result of this research reveals the undercover value of PT X, which could not be seen by potential investors before. There are two versions of valuation. The first version is the valuation before receiving funds. The first version of valuation result is IDR 3,464,679,553. The second version is the valuation after funding and execution of mobile application development program. According to this version, the value of PT X increased to Rp 16,414,305,855. Based on the valuation after receiving funds, there is a dilution of the shares of PT X from 100% to 25.81%. The dilution is divided according to the proportion to the four shareholders of PT X. Meanwhile, the ideal shares proportion for potential investors is 74.19%.
